Gælleo Seller Agreement
Last updated: 2026-10-24
This Seller Agreement ("Agreement") is between Becato LLC, a Wyoming limited liability company, 30 N Gould St, Sheridan, WY 82801, USA ("we", "us", "Gælleo"), and you, the person or business selling artwork through Gælleo ("Seller", "you"). By accepting this Agreement in the Seller Studio, you agree to it.
1. What Gælleo is
Gælleo is a mobile app and marketplace where customers buy digital artwork made for TVs with an art mode (such as Samsung The Frame) and display it on their TV. Sellers list artwork; customers buy it in the app through the Apple App Store or Google Play, or through our own checkout (processed by Stripe) where store rules allow.
2. Your artwork and your rights
2.1 You keep your copyright. Nothing in this Agreement transfers ownership of your artwork to us.
2.2 You only upload what you have the right to sell. For each artwork you upload, you confirm that:
- you created it, or you hold a written commercial license that allows you to sell it as a digital download through third-party marketplaces;
- it does not copy or include someone else's artwork, photograph, trademark, logo, character, or likeness without permission;
- it does not include content that is illegal, hateful, sexually explicit, or that targets minors;
- the information you give (title, category, AI declaration) is accurate.
2.3 AI-generated work. You must declare whether an artwork is AI-generated or AI-assisted. You are responsible for making sure AI-generated work does not reproduce protected works or real people's likeness.
3. License you give us
You grant us a worldwide, non-exclusive, royalty-free license, for as long as your artwork is listed and for customers who bought it afterwards, to: host, reproduce, resize, display, promote, and distribute your artwork in the app, on our website and in our marketing; and to deliver it to customers who buy or unlock it. Customers receive a personal, non-commercial license to display the artwork on their own screens, as described in our Terms of Use.
You may remove an artwork from sale at any time. Customers who already bought it keep access.
4. Review and removal
4.1 All uploads are reviewed before they go live. We may reject, remove, or delist any artwork at our discretion, including for quality, rights concerns, or reports from users or rights holders.
4.2 Copyright complaints. If we receive a notice that your artwork infringes someone's rights, we may remove it immediately and forward the notice to you. You may send a counter-notice under our DMCA Policy. Repeat infringers will be suspended.
5. Pricing and payment
5.1 Prices. You may suggest a price. We set the final store price within the price tiers allowed by Apple and Google.
5.2 Your share. For each completed sale of your artwork, you earn [70]% of the Net Amount. "Net Amount" means the price paid by the customer, excluding sales tax / VAT, minus the store fee (Apple or Google, currently 15% or 30%) or, for our own checkout, minus the payment processing fee. Your exact share is shown in the Seller Studio.
5.3 Subscriptions. If Gælleo offers a subscription giving access to many artworks, we will share subscription revenue with sellers under a published formula (for example, based on how often your artwork is sent to TVs). We will give you at least 30 days' notice before this starts.
5.4 Refunds. If Apple or Google refunds a customer, the related earnings are reversed. If the earnings were already paid, we deduct them from your next payout.
5.5 Payouts. We pay monthly, about 45 days after the end of the month in which sales occurred (Apple and Google pay us on a similar delay), through Stripe (Stripe Connect or Stripe Global Payouts, depending on your country) to the bank account you register. Minimum payout: $[25]; smaller balances roll over. Before you can be paid you must complete identity verification and provide a tax form: Form W-9 if you are a US person, or Form W-8BEN (individuals) / W-8BEN-E (companies) if you are not.
5.6 Taxes. For store purchases, Apple and Google collect and remit sales tax / VAT. For purchases through our own checkout, we collect and remit it where required. Payments to you are license fees (royalties) for your artwork. You are responsible for your own income taxes. For US sellers we report payments on Form 1099-MISC where required. For non-US sellers, US tax law may require us to withhold US tax on the part of your royalties earned from US customers; the rate is 30% unless you claim a lower treaty rate on your W-8 form. Any amount withheld is paid to the IRS on your behalf and reported to you on Form 1042-S.
6. Your responsibilities
You will: keep your Seller Studio link private (it signs you in); give accurate information; respond to our questions about rights within 7 days; not manipulate reviews, rankings or sales; not direct our customers to buy elsewhere inside the app.
7. Indemnity
You will defend and indemnify Becato LLC against claims, damages and costs (including reasonable attorney fees) arising from your artwork, your breach of Section 2, or your violation of law.
8. Limitation of liability
To the maximum extent permitted by law, our total liability to you under this Agreement is limited to the amounts we paid you in the 12 months before the claim. We are not liable for indirect or lost-profit damages, or for outages, store policy changes, or changes by TV manufacturers that affect the app.
9. Term and termination
Either party may end this Agreement at any time. If it ends, we stop selling your artwork within 14 days and pay earned amounts on the normal schedule (minus refunds). Sections 2, 3 (for past customers), 5.4, 7, 8 and 10 survive.
10. General
Governing law: State of Wyoming, USA. Venue: courts located in Wyoming. We may update this Agreement with 30 days' notice in the Seller Studio; continuing to sell after that means you accept the update. This Agreement is the entire agreement between us about selling on Gælleo.
